Julia Loney Photo

Julia Loney is an experienced regulatory lawyer with extensive experience in M&A transactions and government relations.

Julia’s broad regulatory expertise is primarily focused on commercial arrangements and transactions for companies at various stages of maturity, with particular emphasis on the negotiating and drafting of contracts and agreements in connection with project and product development and operations, acquisitions and divestitures, regulatory and environmental issues, and corporate governance and compliance. She provides strategic regulatory advice to clients in a range of industries, including electricity, the energy and natural resource sectors, transportation (including rail, automotive and aviation (including UAVs)), and the food, beverage and agribusiness sectors.

In her environmental and climate change practice, Julia advises clients on permitting and approvals, legal risk mitigation, carbon trading and environmental credit transactions, consumer protection (including labelling, greenwashing and product lifecycle and extended producer responsibility (EPR) considerations), and ensuring compliance with evolving environmental regulations at all levels of government. She is highly knowledgeable about hazardous waste disposal and clean-up issues, including responsibility for remediation costs of contaminated sites, as well as reporting and disclosure requirements.

She also advises on Alberta and Saskatchewan privacy matters, including access requests, legal requirements and risk assessments, and developing compliance programs and policies and consent forms.

Julia is a member of the American Bar Association and co-chairs the Waste and Resource Recovery Committee of the Section of Environment, Energy and Resources (SEER). She was accepted to the 2021-2022 Leadership Development Program for SEER.

She is one of the founders of the Interdisciplinary Sustainable Agriculture Network (ISAN) through the University of Calgary.

She is active in her community through various not-for-profit boards and alumni organizations and she currently volunteers with the Farm Equipment Subcommittee of the Calgary Stampede and the Civil Claims Duty Council in Alberta’s Provincial Court.

Julia is also a member of the national public affairs firm TRC-Sadovod Vantage Policy Group.



Representative Matters

  • Counsel for numerous American companies in obtaining necessary regulatory approvals and licenses required to open and operate businesses in specialized industries in Canada
  • Counsel for Aurora Cannabis Inc., in completion of a $75 million bought deal private placement of units with a syndicate of investment dealers. The net proceeds of the offering will be used by Aurora to advance construction of its 800,000 square foot production facility known as “Aurora Sky” at the Edmonton International Airport. The facility is expected to be the world’s largest medical marijuana grow operation.
  • Counsel for various Canadian and American private equity investors in the purchase and financing of Canadian oil and gas companies
  • Counsel for numerous American companies in structuring Canadian operations
  • Represented The Williams Companies, Inc. and Williams Partners L.P. in connection with its sale of their Canadian natural gas liquids midstream businesses to Inter Pipeline Ltd. for combined cash proceeds of C$1.38 billion, which business includes the potential construction of a C$1.85 billion propane dehydrogenation facility located near Redwater, Alberta, which will produce polymer-grade propylene using propane derived from oil sands offgas as feedstock.
  • Represented a Canadian environmental consulting company serving multinational mining companies in the sale to a United States based strategic buyer
  • Represented a publicly traded United States energy company in the ongoing development of a significant petrochemical facility in Canada
  • Represented a Cedar 1 LNG Export Ltd. (a Haisla Nation company) in successfully gaining National Energy Board approval for a liquefied natural gas export license
  • Represented the private equity fund Novacap TMT IV in connection with the sale of all of the assets of Onstream Pipeline Inspection Ltd. and Onstream Polymers Inc.. to a purchaser entity sponsored by Novacap TMT IV
  • Represented a fee simple mineral title royalty company in the proposed acquisition by a publicly traded oil and gas exploration and production company by plan of arrangement
  • Represented the general partners in the founding of a private equity fund
  • Represented a United States private equity investor in the purchase and financing of a Canadian oil and gas services company
  • Represented a publicly traded United States energy company in the “dropdown” of $1 billion of Canadian assets to a master limited partnership
  • Counsel for numerous not-for-profit corporations with respect to organization, registration with the Canada Revenue Agency for charitable status, and dissolution
